Welcome to GlobeSync Enterprise (“Platform”, “GlobeSync”, “we”, “us”, “our”).

GlobeSync Enterprise is a technology-enabled digital marketplace that facilitates connections between manufacturers, suppliers, and sellers across India and globally.

GlobeSync is an intermediary under the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

• We do not manufacture, stock, sell, ship, or own products listed on the Platform.
• We act solely as an intermediary platform provider.
• By accessing or using GlobeSync Enterprise, you agree to be bound by these Terms of Service.

Eligibility

You may use the Platform only if:

• You are at least 18 years of age
• You have the legal capacity to enter into contracts
• You represent a legally registered business entity (for manufacturers/sellers)
• You comply with all applicable Indian and international laws

Platform Role & Disclaimer

GlobeSync Enterprise:

• Provides digital infrastructure only
• Does not verify product quality, legality, or authenticity
• Is not a party to transactions between manufacturers and sellers
• Does not guarantee sales, profits, or buyer behavior

All commercial decisions are made at users’ sole discretion and risk.

User Accounts

Users must:

• Provide accurate, complete registration information
• Maintain confidentiality of login credentials
• Be responsible for all activity under their account

GlobeSync reserves the right to suspend or terminate accounts for:

• Fraud
• Misrepresentation
• Legal violations
• Abuse of platform policies

Manufacturer Responsibilities

Manufacturers agree to:

• Provide truthful business and product information
• Ensure products comply with applicable laws
• Honor pricing, specifications, and MOQ commitments
• Manage production, packaging, and dispatch independently
• Handle warranties, replacements, and product compliance

Seller Responsibilities

Sellers agree to:

• Conduct due diligence before engaging manufacturers
• Handle end-customer relationships independently
• Comply with GST, tax, and regulatory requirements
• Manage post-sale customer service and returns

Product Listings

• Listings are created and controlled by manufacturers
• GlobeSync does not endorse any listing
• Prohibited products are strictly disallowed
• Misleading or illegal listings may be removed without notice

Pricing & Fees

• GlobeSync may charge subscription fees, commissions, or service fees
• Fees are transparently disclosed on the Platform
• All fees are non-refundable unless explicitly stated

Payments

• Payments may be processed via third-party payment gateways
• GlobeSync does not store card or banking details
• Disputes related to payments must be resolved between users
• GlobeSync is not liable for payment delays or failures caused by gateways

Shipping & Logistics

• Shipping is arranged directly between manufacturers and sellers
• GlobeSync does not handle logistics, customs, or warehousing
• Delivery timelines are indicative, not guaranteed
• Any shipping dispute is between transaction parties

Returns, Refunds & Cancellations

• Governed by individual agreements between users
• GlobeSync is not obligated to enforce refunds or returns
• Platform may assist in dispute communication but has no liability

Intellectual Property

• GlobeSync trademarks, logos, and software are proprietary
• Users retain ownership of their content
• Users grant GlobeSync a limited license to display content on the Platform

Data Usage

By using GlobeSync, users consent to data processing as outlined in the Privacy Policy.

Limitation of Liability

To the fullest extent permitted by law:

• GlobeSync is not liable for indirect, incidental, or consequential damages
• Liability is limited to fees paid to GlobeSync in the last 6 months

Indemnification

Users agree to indemnify GlobeSync against claims arising from:

• Product defects
• Legal violations
• Misrepresentation
• Third-party disputes

Termination

GlobeSync may terminate access:

• Without notice for policy violations
• With notice for operational reasons

Governing Law & Jurisdiction

• Governed by the laws of India
• Courts of [Your City, India] shall have exclusive jurisdiction
